1. About these Terms
These Terms of Service ("Terms") are an agreement between you and PMOAid Pty Ltd (ABN 88 654 942 757) trading as Kumry ("Kumry", "we", "our" or "us"). They apply when you create an account, are invited to an organisation, or otherwise use the Kumry website, application and API (together, "the Service").
If you use the Service for a business, you accept these Terms for that business, and you confirm that you are allowed to do so. If you do not agree to these Terms, do not use the Service.
These Terms should be read with our Privacy Policy, Acceptable Use Policy, Data Processing Agreement and Cookie Policy, which form part of them.
2. The Service
Kumry is online accounting software. What you can use depends on your plan and on the services you choose to connect. It includes:
- Invoices, bills, expenses, contacts and financial reports
- Bank statement import (CSV, OFX or QIF files) and reconciliation
- GST tracking and BAS preparation
- Moving your books across from Xero or QuickBooks Online
- A customer portal where your customers can view invoices you share with them
- Organisation API keys and signed webhooks
- Double-entry posting controls, integrity certificates and audit capsules for the records and reports they name
- Suggested categories for transactions
Kumry does not lodge returns with the ATO for you, and it does not give tax, legal or financial advice. You remain responsible for your organisation's accounting, tax and other legal obligations, including checking reports and returns before you rely on them or lodge them.
3. Your Account
You must give accurate details when you register and keep them up to date. You are responsible for:
- Keeping your sign-in details and second factor safe
- What happens under your account
- Telling us straight away if you think someone else has used your account
- The people you invite to your organisation and the access you give them
Each organisation must have at least one owner, who manages its users and its subscription.
4. Plans, Prices and Billing
Paid features are provided on a subscription. The plan, price, billing period (monthly or yearly), what the plan includes, and any cancellation and refund terms that apply to you are the ones shown to you at checkout and accepted when you subscribe. When you subscribe, we keep a record of the version of the terms you accepted and when you accepted it.
Prices are in Australian dollars and include GST. Subscriptions are charged in advance for each billing period through our payment provider, Stripe. Your subscription renews at the end of each billing period until you cancel it.
If we change the price of your plan, we will email you at least 30 days before the new price applies. The new price applies from your next billing period after that notice. You can cancel before then if you do not want to continue at the new price.
5. Tax Invoices
Prices include GST. For each payment, we issue a tax invoice that shows our ABN (88 654 942 757) and the GST included.
6. If a Payment Fails
If a payment fails, we will tell you, and our payment provider will try the payment again over the following weeks. For the first 7 days nothing changes.
If the payment is still overdue after that, you and your team can no longer create or change records in the Service. You can still sign in, read your records and export them, and you can update your payment details or cancel. Nothing is deleted. Once the overdue amount is paid, everything works again.
If the payment still fails after the final retry, your subscription ends and section 10 applies.
7. Cancellation and Refunds
You can cancel your subscription at any time from the billing settings in the Service. Cancellation takes effect at the end of the billing period you have already paid for, and you keep full access until then.
The remainder of a paid period is not refunded, except where the Australian Consumer Law requires a refund or where these Terms say we will refund it (sections 19 and 20).
8. Acceptable Use
You must use the Service lawfully and in line with our Acceptable Use Policy. In particular, you must not:
- Use the Service to store or process information you have no right to use, or for fraud, money laundering, tax evasion or any other unlawful purpose
- Try to get into accounts, data or systems you are not allowed to access
- Reverse engineer, decompile or disassemble the Service, except where the law allows it
- Upload malware or anything designed to harm the Service or other people
- Get around usage limits, security measures or access controls
- Use bots, scrapers or other automated tools to access the Service, except through our published API
- Resell or share access to the Service except as your plan allows
9. Your Data
You own the financial records, documents and other content you put into the Service or bring across from another system ("Your Data"). You give us permission to store, process, copy and display Your Data only as needed to provide the Service to you, to keep it secure, and to meet our legal obligations.
We do not sell Your Data, and we do not use it for any other purpose except as described in our Privacy Policy.
You can export Your Data at any time while your account is active, using the reports and exports available in the Service (CSV, Excel and PDF).
10. Your Data After Cancellation
After your subscription ends, you can still sign in to read and export Your Data for 7 years, so you can meet your own record-keeping obligations. You cannot create or change records during that time. You can ask us to delete Your Data sooner.
After those 7 years, we delete Your Data from our live systems. Copies in our backups are removed as those backups expire, within 35 days.
11. Deleting Your Personal Account
You can ask to delete your own Kumry account from your account settings. You cannot do this while you are the only owner of an organisation that has other members; first make another member an owner.
When you ask, we sign you out everywhere straight away and email you a link to cancel the request. Your account is deleted after a 7-day cooling-off period. We then destroy your sign-in details, registered devices, two-factor methods and contact details, and remove you from every organisation.
The records you created for a business stay with that business, because they are part of its books. They keep an anonymous user ID, not your name or email address. A record of your sign-ins is kept for 12 months for security and fraud checks only, and is then deleted automatically. See our Privacy Policy for details.
12. Third-Party Services
Some features work with services run by other companies, such as:
- Xero and Intuit (QuickBooks Online), when you connect them to bring your books across
- Stripe, which processes subscription payments
When you connect or use one of these services, its own terms and privacy policy also apply to what it does. We are not responsible for the availability of third-party services or for how they handle information under their own terms. If a third-party service changes or stops working with Kumry, we will tell you and help you with other ways to bring your data in where we can.
13. API Keys and Webhooks
Organisation owners can issue API keys and set up webhooks so other software can work with your Kumry data.
You are responsible for the API keys you issue: keep them secret, give each one only the access it needs, and revoke any key you think has been exposed. Anything done with a valid key from your organisation is treated as done by your organisation.
Webhooks send information about your organisation to the address you choose. You are responsible for that address and for what happens to the information once it is delivered there. We may limit the rate of API requests to keep the Service working for everyone.
14. Intellectual Property
We own the Service, including its software, design, documentation and branding. These Terms give you the right to use the Service while you have an account. They do not transfer ownership of any part of it to you.
If you send us feedback or suggestions, we may use them to improve the Service without paying you. We will not identify you publicly as the source without your permission.
15. Security and Integrity
We take reasonable steps to protect Your Data, including encrypted connections, multi-factor authentication, keeping each organisation's data separate, role-based access and logging of security events. Our Security Policy has more detail.
Integrity certificates and audit capsules cover only the records, scope and limitations they state. They do not show who wrote every entry, or that every entry is complete or correct.
No system is completely secure. You are responsible for the security of your own devices and sign-in details.
16. AI Features
Some features use artificial intelligence. You should know that:
- Suggested categories are worked out on Kumry's own servers. Your transactions are not sent to an outside AI provider for this.
- When you import a file whose layout Kumry has not seen before, we may send its structure to an AI provider to learn the layout. That means column headings, Xero's own wording, and the shape of rows with every value masked. It never includes amounts, names in the rows, or bank details. The learned layout is then reused to read that kind of file for all customers.
- AI suggestions can be wrong. Check them before you rely on them for tax, financial reporting or other legal obligations.
- We do not use Your Data to train AI models for other customers.
Our Privacy Policy and our list of sub-processors say which providers are involved and where they are.
17. Consumer Guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Where the law allows, our liability for failing a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again.
Nothing in these Terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law, or any other law, that cannot be excluded, restricted or changed.
Subject to that, we do not promise that the Service will always be available or free of errors. We will take reasonable care in providing it and will fix faults we become aware of within a reasonable time.
18. Limits on Liability
These limits apply to both you and us, to the extent the law allows.
Neither party is liable to the other for indirect or consequential loss, such as loss of profit, revenue or business opportunity, arising under or in connection with these Terms.
Each party's total liability to the other under or in connection with these Terms, in any 12-month period, is limited to the total fees paid or payable by you to us in the 12 months before the event that gave rise to the claim.
These limits do not apply to:
- Fees you owe us for the Service
- Liability for fraud, or for deliberate wrongdoing
- Liability for personal injury or death
- Liability that cannot be limited by law, including under the Australian Consumer Law
Each party's liability is reduced to the extent the other party, or someone acting for it, caused or contributed to the loss.
19. Indemnities
You will compensate us for loss we suffer from a claim by a third party that arises from your breach of these Terms or of the law, or from information you put into the Service that you had no right to use.
We will compensate you for loss you suffer from a claim by a third party that your use of the Service, as permitted by these Terms, infringes that third party's intellectual property rights. If such a claim is made, we may change the Service so it no longer infringes, get the right for you to keep using it, or, if neither is reasonably possible, end your subscription and refund the unused part of any period you have paid for.
Each indemnity is reduced to the extent the party claiming under it caused or contributed to the loss. The party making a claim must tell the other promptly and let it manage the defence of the claim, acting reasonably. Both indemnities are subject to section 18.
20. Suspension and Ending the Agreement
You can end this agreement at any time by cancelling your subscription and closing your account in the Service.
We can suspend or end your access by giving you at least 30 days' notice by email. We will give you a reason, and the chance to fix the problem where it can be fixed.
We can suspend your access with less notice, or none, only if:
- You have seriously breached these Terms or our Acceptable Use Policy, for example by fraud, unlawful activity or attacking the Service
- The law, a court or a regulator requires it
- It is needed to deal with a security risk to the Service, to you or to other people
If we do this, we will tell you why as soon as we can, and we will restore access once the reason no longer applies.
Before we close an account, we will give you time to export Your Data, unless the law prevents it. We will not suspend or close an account that has a current paid subscription because it has not been used.
If we end your subscription for a reason other than your breach, including because we stop offering the Service, we will refund the unused part of any period you have paid for.
Sections that by their nature continue after this agreement ends (including sections 9, 10, 17, 18, 19 and 22) continue to apply.
21. Changes to these Terms
We may change these Terms. We will email the owners of each organisation at least 30 days before a change takes effect and show the date and version of the new Terms on this page. Each version stays available at its own address.
If you do not agree with a change, you can cancel before it takes effect, and we will refund the unused part of any period you have paid for in advance. If you keep using the Service after a change takes effect, the new Terms apply.
A change needed only to comply with the law, or to deal with a security risk, may take effect sooner. If that happens, we will tell you as soon as we can.
22. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.
If a dispute arises, please contact us first. Both parties will try in good faith to resolve it for at least 30 days before starting court proceedings, except where urgent relief is needed.
